1. Introduction

Welcome to myAIssistant. These Terms of Service ("Terms") govern your access to and use of the myAIssistant website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully. If you do not agree with these Terms, you may not access or use our Services.

2. Definitions

  • "myAIssistant," "we," "us," and "our" refer to myAIssistant and its affiliates.

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans for our Services. The features, limitations, and pricing of each plan are described on our website.

4.2 Payment

You agree to pay all fees associated with your subscription plan. All payments are non-refundable unless otherwise specified or required by law.

4.3 Billing Cycle

We will bill you on a recurring basis (monthly or annually, depending on your subscription plan). You authorize us to charge your payment method for the subscription fees on each billing date.

4.4 Price Changes

We may change the fees for our subscription plans. If we do, we will provide notice of the change at least 30 days before the change takes effect. Your continued use of the Services after the fee change becomes effective constitutes your agreement to pay the updated fees.

4.5 Cancellation

You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew.

5. Acceptable Use

5.1 Compliance with Laws

You agree to use the Services in compliance with all applicable laws, regulations, and these Terms.

5.2 Prohibited Activities

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws or regulations
  • Violate or infringe the rights of others, including intellectual property rights
  • Upload, transmit, or distribute any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Use any robot, spider, or other automated device to access the Services or to extract data from the Services
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Collect or store personal data about other users without their consent

5.3 Service Limitations

We reserve the right to establish general practices and limits concerning the use of the Services, including the maximum number of days that Content will be retained, the maximum storage space, and the maximum number of times you may access the Services in a given period.

6. User Content

6.1 Ownership

You retain ownership of any intellectual property rights that you hold in the User Content you submit to the Services.

6.2 License Grant

By submitting User Content to the Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and our business operations.

6.3 Representations and Warranties

You represent and warrant that: (i) you own or have the necessary rights to the User Content you submit; (ii) the User Content does not infringe the intellectual property rights or other rights of any third party; and (iii) the User Content complies with these Terms and all applicable laws and regulations.

6.4 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine is harmful, offensive, or otherwise inappropriate.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services and all Content provided by us are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.

7.2 Trademarks

The myAIssistant name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of myAIssistant or its affiliates. You may not use such marks without our prior written permission.

7.3 Feedback

If you provide us with any feedback or suggestions regarding the Services, you grant us the right to use such feedback without restriction and without compensation to you.

8. Third-Party Services and Content

The Services may contain links to third-party websites, services, or content that are not owned or controlled by myAIssistant. We do not endorse or assume any responsibility for any such third-party sites, services, or content. If you access a third-party website, service, or content from the Services, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites, services, or content.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYAISSISTANT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. Indemnification

You agree to indemnify, defend, and hold harmless myAIssistant and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in accordance with the rules of the Canadian Arbitration Association. The arbitration shall be conducted in Toronto, Ontario, and the language of the arbitration shall be English.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

16. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of myAIssistant.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and myAIssistant regarding your use of the Services.
